DISCLAIMER OF ALL IMPLIED WARRANTIES, INCLUDING WARRANTY OF MERCHANTABILITY
A&E Home Security Company ("Vendor") Warrants, for the benefit of Customer only, that at the time of sale to the Customer, the equipment being sold is new, and Vendor does not know of any nonconformity between the equipment as shipped and the manufacturers' specifications for the goods, and does not know of any defect in the materials or workmanship of the equipment. In every other respect, Customer recognizes that the equipment is being sold "as is." The only warranties given are those that might be offered by the manufacturers of the equipment.
VENDOR DISCLAIMS ANY AND ALL PROMISES, REPRESENTATIONS, AND WARRANTIES, EXCEPT AS EXPRESSLY SET FORTH HEREIN WITH RESPECT TO THE EQUIPMENT BEING SOLD, INCLUDING ITS CONDITION, ITS CONFORMITY TO PATENT DEFECTS, AND ITS MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY, ARE HEREBY DISCLAIMED. THE GOODS ARE SOLD "AS IS." VENDOR FURTHER DISCLAIMS ANY AND ALL OTHER PROMISES, REPRESENTATIONS, AND WARRANTIES WITH RESPECT TO THE NATURE AND QUALITY OF ANY OTHER PERFORMANCE BY VENDOR, EXCEPT AS EXPRESSLY SET FORTH HEREIN.
PLEASE NOTE: BATTERIES HAVE A 90 DAY WARRANTY.
Vendor shall have no obligation to correct or cure or otherwise remedy any nonconformity or defect in the equipment, if: (1) the equipment is not properly installed in a suitable operating environment; (2) the equipment is not properly maintained and operated under normal conditions by qualified personnel; or (4) Customer has not notified Vendor promptly upon discovery of any pertinent nonconformity or defect (or other breach).
Attorney Fee Provision & Choice of Law and Forum
Under no circumstances shall Vendor be liable to Customer for any loss of profits, any incidental, special, exemplary, or consequential damages, or any claims or demands brought against Customer by any other party, even if Vendor has been advised of the possibility of such claims or demands; and this limitation is intended to apply to all Customer's family members, guests, invitees, and other visitors to the Customer's premises. Under no circumstances shall Vendor be held liable for loss or damage that may be incurred by the Customer due to fire, burglary, or robbery where Vendor products have been installed by the Customer or his agent nor for any damage caused by incorrect assembly, misuse, purchaser modifications, reimbursement for Customer installation time or acts of God. The laws of the State of Maryland shall govern all transactions between the customer and vendor; and that any dispute or litigation with respect to transactions shall take place exclusively in the State of Maryland.
In any litigation, arbitration, or other proceeding by which one party either seeks to enforce its rights or seeks a declaration of any rights or obligations under a sales order, the prevailing party shall be awarded reasonable attorney fees, together with any costs and expenses, to resolve the dispute and to enforce the final judgement. Any dispute arising from the relationship between the parties, shall be governed by Maryland law and shall be resolved in Montgomery County, Maryland courts.
